1. Interpretation and Definitions
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

● "Agreement" means this Terms of Use that forms the agreement between You and the Company regarding the use of the Application.
● "Application" means the software program provided by the Company downloaded by You through Company Website or any Application Store's account to a Device, named "aleria" product.
● "Application Store" means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) by which the Application has been downloaded to your Device.
● "Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Aleria Technology LLC a limited liability company organised under the laws of United Arab Emirates with registered address at Al Bateen Khalidiyah, Al Montazah Tower b, 502 offices with license number CN-4978368 and with contact details as follows:

● "Content" refers to content such as text, images, or other information that can be typed, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
● "Country" refers to: the United Arab Emirates
● "Device" means any device that can access the Application such as a cell phone, a digital tablet or a laptop/ desktop.
● "Third-Party Services" means any services or content (including data, information, applications and other products services) provided by a third-party that may be displayed, included or made available by the Application as a result of using the Application Services.
● "You" means the individual accessing or using the Application, or the company or other legal entity on behalf of which such individual is accessing or using the Application, as applicable.
Acknowledgment
By using the Services, you acknowledge and agree that:1. Terms Acceptance: You have read, understood, and agree to be bound by these Terms of Use and our EULA.2. 4. Withdrawal of Consent: You may withdraw any consent at any time by contacting us at support@aleria.com. Withdrawal of consent does not affect the lawfulness of processing before withdrawal, nor does it affect the validity of your agreement to these Terms.
2. Account Creation and Use

Follow the installation prompts to install the application on your device.

b) Download the aleria application from Application Store or Play Market.
3. Content
You are responsible for all Content that you upload, post, or transmit through aleria and ensure that such Content complies with applicable laws, including but not limited to intellectual property laws and personal data protection laws. You represent and warrant that You own or have the necessary rights to use the Content and that it does not infringe on any intellectual property rights of others.
You must not upload, post, or transmit Content that is unlawful, defamatory, obscene, or infringes on third-party rights.
You retain all ownership rights in your Content. By uploading, or transmitting Content through the Services, you grant to the Company a worldwide, royalty-free, non-exclusive, sub-licensable license to:

Store, host, and reproduce your Content on our servers and systems;

Transmit, display, and perform your Content to other participants as intended by the Service;

Process your Content technically to provide the Services (e.g., compression, format conversion);

Create derivative works solely for delivery of Services

Retain archived copies of your Content for backup and recovery purposes.
Limitations: This license does not include the right to:

Use your Content for marketing or promotional purposes without separate consent;

Train artificial intelligence or machine learning models using your Content;

Share your Content with third parties except as necessary to provide the Services.
License Duration: This license continues until you delete your Content or terminate your account. Upon deletion, we will remove your Content from active systems within 90 days and from backup systems within 120 days.
4. Services
We will provide the Services in accordance with the acquired plans, the EULA, these Terms and our Privacy Policy.
For paid subscription plans, we commit to:

Monthly Uptime Target: 99.5% availability during each calendar month

Scheduled Maintenance: We will provide at least 48 hours' notice for scheduled maintenance

Maintenance Window: Scheduled maintenance will be performed during low-usage periods (typically weekends between 2:00 AM and 6:00 AM UAE time)
Service Credits: If our monthly uptime falls below the target, affected paid subscribers may request a service credit as follows:

99.0% - 99.49% 5% of monthly subscription fee
95.0% - 98.99% 10% of monthly subscription fee
Below 95.0% 25% of monthly subscription fee
Exclusions: Downtime caused by factors outside our reasonable control is excluded from uptime calculations, including:

Internet backbone failures

User-side issues
-
Scheduled maintenance
-
Cyberattacks
5. Data Protection and Security
We will implement reasonable security measures to protect your data against unauthorized access, disclosure, or destruction.
You are responsible for maintaining the confidentiality and security of your Account credentials and Content.
We comply with applicable data protection laws and regulations. Please consult the privacy policy below.
6. Compliance
The Company is committed to maintaining the highest standards of compliance with applicable laws, regulations, and industry standards. This Compliance Policy outlines the principles and guidelines that govern the use of aleria by its users.
Scope
This Compliance Policy applies to all users of aleria, including employees and, contractors.
Compliance Principles

EULA: Users must accept and comply at all times with the End User License Agreement.

Data Protection: Aleria Technology LLC is committed to protecting the confidentiality, integrity, and availability of user data. Users must comply with all applicable data protection laws and regulations applicable in UAE. Users must also comply with international regulations, such as the General Data Protection Regulation (GDPR) if they are located in the European Union or other applicable data protection laws.

Security: Users must maintain the confidentiality and security of their account credentials and content. Users are responsible for reporting any security breaches or unauthorized access to their accounts.

Content Restrictions: Users must not upload, post, or transmit content that is unlawful, defamatory, obscene, or infringes on third-party rights. Any litigation arising as a breach of this condition is the sole responsibility of the user.

Intellectual Property: All Intellectual property rights of aleria belong to Aleria Technology LLC. Users must respect the intellectual property rights of others and only use copyrighted materials with permission.

Anti-Corruption: Users must comply with all applicable anti-corruption laws and regulations, applicable in UAE.
User Responsibilities

Account Management: Users are responsible for maintaining the accuracy and completeness of their account information.

Content Management: Users are responsible for managing their content and ensuring that it complies with the Compliance Principles. Business users must ensure that all individuals accessing aleria on their behalf comply with these Terms. Audio Recordings: Audio recording of meetings is available as a feature of the Services. In accordance with UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021) and applicable privacy laws, all meeting participants must consent before any audio recording may commence. When You as a meeting organizer request to record a meeting:

All participants will receive a clear and prominent notification that the meeting is about to be recorded;

Each participant must provide explicit consent by clicking an "I Agree" or similar button before the recording begins;
-
Participants who do not consent will have the option to leave the meeting or join without being recorded (audio muted);
-
A visual indicator will be displayed throughout the recording to remind participants that the meeting is being recorded.
**Storage and Retention of Recordings> Audio recordings are stored securely using industry-standard encryption. Recordings are stored for a period of twelve (12) months from the date of recording, or until deleted by the user, and may be accessed only by the meeting organizer and designated administrators. Users may request deletion of their recordings at any time by contacting support@aleria.com.> > Participant Rights: Participants have the right to:

Decline to participate in a recorded meeting;

Request access to any recording in which they appear;

Request deletion of recordings containing their voice;
-
Receive a copy of recordings upon request.
Legal Compliance: By using the recording feature, You represent and warrant that:

You have informed all participants that the meeting will be recorded;
-
You have obtained consent from all participants or will ensure only consenting participants are recorded;
-
You will comply with all applicable laws regarding recording of conversations;
-
You will not use recordings for any unlawful purpose.

Security Management: Users are responsible for maintaining the security of their account credentials and content.

Reporting: Users must report any compliance issues or concerns to support@aleria.com.
Consequences of Non-Compliance

Account Suspension: Aleria Technology LLC may suspend or terminate user accounts that do not comply with the Compliance Policy.

Legal Action: Aleria Technology LLC may take legal action against users who do not comply with the Compliance Policy.

Reputation Damage: Non-compliance may damage the reputation of The Company and its users.
You must comply with all applicable laws and regulations when using aleria.
We reserve the right to suspend or terminate your Account if we suspect non-compliance.
7. Warranty Disclaimer
We provide Aleria "as is" and "as available" without warranties of any kind.
We disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
We are not liable for any indirect, incidental, special, or consequential damages arising from your use of aleria. Our total liability for damages is limited to the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim

Scope
This Privacy Policy applies to all users of aleria including those accessing the platform via web browsers, mobile apps, or any other services offered by The Company across all regions. By clicking "I Agree" to these Terms, the User consents to their personal data being collected and used as provided below. The Users can withdraw their consent at any time by writing to the address provided in the Clause "Contact".
Basis for Data processing
We process your personal data on the following legal grounds:Contract Performance: We process your email address, meeting data, and device information to solely for the delivery of the Services.Consent: We process audio recordings based on your explicit consent, which you may withdraw at any time.Legitimate Interests: We process usage data and analytics to improve our Services, detect fraud, and ensure security, which constitutes a legitimate interest of the Company.Legal Obligation: We may process personal data to comply, when solicited, with legal obligations, court orders, and regulatory requirements.Vital Interests: We may process personal data to protect vital interests of individuals, such as in emergency situations, when solicited in line with legal obligations.

How We Use Personal Data

Providing the Service: We use personal data solely to accomplish the purpose of the product itself: provide the aleria service. Additionally, we may use personal data for:

Sharing Personal Data

Governing Law and jurisdiction
The laws of the United Arab Emirates as applicable in the Emirate of Abu Dhabi, excluding its conflicts of law rules, shall govern these Terms. For the purpose of these Terms, the parties submit to the exclusive jurisdiction of the Courts of Abu Dhabi.
